Data Manager Terms of Service
These Terms of Service ("Terms") govern your use of the Data Manager app ("Data Manager," "the App"), a Zendesk Marketplace application provided by Agile Plan Group ("we," "us," "our"). By installing or using Data Manager, you agree to these Terms. These Terms apply only to Data Manager. Other Agile Plan Group products have their own separate terms.
1. Plans and License
Data Manager is offered in three plans: Free, Pro, and Auditor. The current features and prices of each plan are listed on our website and in the Zendesk Marketplace listing.
Subject to your compliance with these Terms and, for paid plans, payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use Data Manager within your Zendesk Support account. The Auditor plan additionally includes use of our backend service operated on Amazon Web Services.
2. Billing and Subscriptions
The Free plan is provided at no charge. Pro and Auditor are subscription plans billed monthly through the Zendesk Marketplace, which acts as the merchant of record. Payments are processed by Stripe on behalf of the Zendesk Marketplace.
- Subscriptions renew automatically each month until cancelled.
- You may cancel or downgrade at any time through your Zendesk admin panel. Cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law or where Zendesk Marketplace billing policies provide otherwise.
- We may change prices for future billing periods with at least 30 days' notice. Price changes do not affect the current billing period.
- If a payment fails and is not resolved, the subscription will be downgraded to the Free plan.
3. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, modify, or create derivative works of Data Manager
- Redistribute Data Manager outside of the Zendesk Marketplace
- Use Data Manager in any way that violates Zendesk's Terms of Service or applicable law
- Attempt to circumvent any security, authentication, or rate-limiting mechanisms within Data Manager, our backend service, or Zendesk
- Use Data Manager to access data you are not authorized to access within your own Zendesk account
- Use our Auditor backend service in a way that imposes unreasonable load (for example, by triggering excessive automated drill-down requests)
4. Your Responsibilities
You are responsible for:
- Ensuring that the Zendesk agents who use Data Manager have appropriate permissions and training
- Your own compliance with applicable data privacy laws (GDPR, CCPA, etc.) when using Data Manager to view and export data
- Properly securing exported CSV files — once data leaves Data Manager via export, it is outside our control
- Maintaining the security of your Zendesk account, including the OAuth grants you authorize for the Auditor plan
5. Service Availability
We work to keep Data Manager and its backend service operating reliably, but we do not provide a formal uptime SLA. The Auditor backend service is hosted on AWS and inherits AWS's regional availability characteristics.
The Free and Pro plans operate client-side within Zendesk; their availability depends on the availability of Zendesk and the Zendesk App Framework. We are not responsible for service issues caused by Zendesk, AWS, or other third-party providers.

7. Limitation of Liability
To the maximum extent permitted by law, Agile Plan Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Data Manager. This includes but is not limited to damages for loss of data, loss of revenue, business interruption, or any other commercial damages, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these Terms or your use of Data Manager shall not exceed the greater of (a) the amount you have paid us for Data Manager in the 12 months preceding the claim, or (b) $100 USD.
8. Service Dependencies
Data Manager relies on the Zendesk App Framework, Zendesk's API, and the Zendesk Marketplace billing system. The Auditor plan additionally relies on AWS and Stripe. Service interruptions, API changes, or deprecations by these providers may affect Data Manager's functionality. We are not responsible for service issues caused by third-party providers, but we will work in good faith to restore functionality when such issues occur.
9. Updates and Changes
We may update Data Manager at any time to fix bugs, add features, or make improvements. Updates to the App are typically delivered automatically through the Zendesk Marketplace. Backend updates for the Auditor plan are deployed without disruption to the App. We may also change or remove features at our discretion, though we will communicate material changes in advance where possible.
10. Termination
You may uninstall Data Manager and cancel any paid subscription at any time through your Zendesk admin panel. Uninstalling immediately ends your license to use Data Manager and stops all client-side data access. For Auditor customers, uninstalling also triggers deletion of stored OAuth tokens as described in our Privacy Policy.
We reserve the right to suspend or terminate your access to Data Manager if you breach these Terms or use the service in a way that materially harms our infrastructure or other customers. We reserve the right to discontinue Data Manager itself at any time with reasonable notice; in the event of discontinuation, we will make reasonable efforts to notify active users through the Marketplace listing or email and to pro-rate any unused portion of the current billing period.
11. Indemnification
You agree to indemnify and hold Agile Plan Group harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of Data Manager in violation of these Terms or applicable law.
12. Governing Law
These Terms are governed by the laws of the United States without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts of the state where Agile Plan Group is domiciled.
13. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Your continued use of Data Manager after changes are posted constitutes acceptance of the updated Terms. Material changes affecting paid plans will be communicated at least 30 days in advance.
